1. Acceptance

By accessing the Website or purchasing our software, you agree to these Terms. If you do not agree, do not use the Website or purchase the software. You must be at least 18, or use the software under the supervision of a parent or legal guardian.

2. License

Our software is sold as a perpetual license. A purchase grants you a personal, non-exclusive license to install and use what you bought on up to three computers that you own or control. The license does not expire. A Neutral EQ license covers its use in any host application that loads it, in the VST3 and Audio Unit formats we ship. A Neutral Tracks license includes Neutral EQ inside Neutral Tracks; using it in another host needs its own license.

You own everything you create with our software, and you may use it for any purpose, including commercially: releasing, selling, or licensing the music and audio you make. The license restricts what you can do with the software itself, not with your work.

You may transfer your license, whole and in full, to another person through your account page. The transfer takes effect when they accept it: they receive a key of their own, your key stops working, and your right to use the software under that license ends. A license cannot be transferred within 30 days of its purchase, while a payment for it is disputed, or at all when it was a trial, free, educational, or promotional license. There is no fee. Apart from a transfer made this way, you may not redistribute, resell, sublicense, rent, lend, or share the software or your license key. You may not modify or reverse-engineer the software, except to the extent applicable law expressly permits (for example, for interoperability).

The license covers the major version you purchased (for example, version 1.x) and includes all updates within that major version at no additional cost. Major version upgrades (for example, 1.x → 2.x) are a separate, paid purchase. Your existing license continues to work indefinitely. You are never required to upgrade.

We may sell software before its full release and label it beta or early access. A purchase during that period is a purchase of the release: the same perpetual license under these Terms, at the price shown at the time, covering the full release and every update within its major version, on every platform we ship that version for, including platforms released after your purchase. Software labelled beta is complete enough for real work, and it may change before the release. The refund guarantee in section 5 and your rights in section 6 apply to a beta purchase the same as to any other.

3. Free Trial

Our software comes with a 30-day free trial with every feature, and no credit card is required. After the trial, Neutral EQ keeps working for evaluation and mutes its output for one second in every sixty until a license key is entered; Neutral Tracks disables save until a license is purchased, with every other feature available. Your use of a trial is governed by these Terms.

4. Payments

All payments are processed by Paddle, our merchant of record. Paddle handles billing, tax collection, and payment processing. Prices are listed in USD and may vary by region. Applicable taxes are calculated and collected by Paddle at checkout.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

6. Your Consumer Rights

Nothing in these Terms limits or removes any statutory consumer-protection rights you have under the laws of the country or state where you live. Where those rights apply, they take precedence over anything here that conflicts with them. Our 30-day money-back guarantee is offered in addition to those rights, not instead of them.

Our software is digital content delivered immediately after purchase. Where a statutory right of withdrawal or cooling-off period would otherwise apply, completing your purchase and downloading the software counts as your request for immediate delivery.

7. Website Content

All text, graphics, logos, and other content on the Website are owned by Neutral Sound LLC or its licensors and are protected by copyright and trademark law. You may view and share Website content for personal, non-commercial purposes.

8. No Warranty

The Website and software are provided "as is" without warranties of any kind, express or implied. We do not guarantee that the software will be error-free or uninterrupted. The software processes audio. You are responsible for maintaining backups of your work.

9. Limitation of Liability

To the maximum extent permitted by law, Neutral Sound LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Website or software. Our total liability is limited to the amount you paid for the software. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some or all of the above may not apply to you.

10. Third-Party Software

Our software runs with third-party software: a plugin runs inside a host application, and a host loads third-party plugins (VST3, Audio Unit, ARA2). We are not responsible for the behavior, stability, or licensing of third-party software. Each is governed by its own license agreement.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. This does not deprive you of any protection guaranteed by the mandatory consumer laws of the place where you live.

13. General

If any part of these Terms is found to be unenforceable, the rest stays in full effect. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Neutral Sound LLC regarding the software and Website. Our failure to enforce a provision is not a waiver of it. We may transfer these Terms to a successor (for example, as part of a merger, acquisition, or sale of assets); you may not transfer your obligations under them without our consent.

14. Changes

We may update these Terms from time to time. Changes take effect when posted with an updated Effective Date. Continued use of the Website or software after changes constitutes acceptance.

15. Complaints

To file a complaint, email help@neutralsound.com with "Complaint" in the subject line. We aim to acknowledge complaints within 2 business days and resolve them within 10 business days.
