These Terms govern your use of the website at neutralsound.com and the purchase and use of Neutral Tracks software, operated by Neutral Sound LLC ("we," "us," or "our").

1. Acceptance

By accessing the Website or purchasing Neutral Tracks, you agree to these Terms. If you do not agree, do not use the Website or purchase the software. You must be at least 18, or use the software under the supervision of a parent or legal guardian.

2. License

Neutral Tracks is sold as a perpetual license. A purchase grants you a personal, non-exclusive license to install and use the software on up to three computers that you own or control. The license does not expire.

You own everything you create with Neutral Tracks, and you may use it for any purpose, including commercially — releasing, selling, or licensing the music and audio you make. The license restricts what you can do with the software itself, not with your work.

You may not redistribute, resell, sublicense, rent, or share the software or your license key. You may not modify or reverse-engineer the software, except to the extent applicable law expressly permits (for example, for interoperability). If you need to move your license to a different person or email address, contact support and we'll transfer it for you.

The license covers the major version you purchased (for example, version 1.x) and includes all updates within that major version at no additional cost. Major version upgrades (for example, 1.x → 2.x) are a separate, paid purchase. Your existing license continues to work indefinitely — you are never required to upgrade.

3. Free Trial

Neutral Tracks offers a 30-day free trial with all features unlocked, including save. No credit card is required. After 30 days, save is disabled until a license is purchased. All other features remain available. Your use of the trial is governed by these Terms.

4. Payments

All payments are processed by Paddle, our merchant of record. Paddle handles billing, tax collection, and payment processing. Prices are listed in USD and may vary by region. Applicable taxes are calculated and collected by Paddle at checkout.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

5. Refunds

All purchases include a 30-day money-back guarantee. See our Refund Policy for details.

6. Your Consumer Rights

Nothing in these Terms limits or removes any statutory consumer-protection rights you have under the laws of the country or state where you live. Where those rights apply, they take precedence over anything here that conflicts with them. Our 30-day money-back guarantee is offered in addition to those rights, not instead of them.

Neutral Tracks is digital content delivered immediately after purchase. Where a statutory right of withdrawal or cooling-off period would otherwise apply, completing your purchase and downloading the software counts as your request for immediate delivery.

7. Website Content

All text, graphics, logos, and other content on the Website are owned by Neutral Sound LLC or its licensors and are protected by copyright and trademark law. You may view and share Website content for personal, non-commercial purposes.

8. No Warranty

The Website and software are provided "as is" without warranties of any kind, express or implied. We do not guarantee that the software will be error-free or uninterrupted. The software processes audio — you are responsible for maintaining backups of your work.

9. Limitation of Liability

To the maximum extent permitted by law, Neutral Sound LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Website or software. Our total liability is limited to the amount you paid for the software. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some or all of the above may not apply to you.

10. Third-Party Plugins

Neutral Tracks hosts third-party audio plugins (VST3, Audio Unit, ARA2). We are not responsible for the behavior, stability, or licensing of third-party plugins. Each plugin is governed by its own license agreement.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. This does not deprive you of any protection guaranteed by the mandatory consumer laws of the place where you live.

13. General

If any part of these Terms is found to be unenforceable, the rest stays in full effect. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Neutral Sound LLC regarding the software and Website. Our failure to enforce a provision is not a waiver of it. We may transfer these Terms to a successor — for example, as part of a merger, acquisition, or sale of assets; you may not transfer your obligations under them without our consent.

14. Changes

We may update these Terms from time to time. Changes take effect when posted with an updated Effective Date. Continued use of the Website or software after changes constitutes acceptance.

15. Complaints

To file a complaint, email help@neutralsound.com with "Complaint" in the subject line. We aim to acknowledge complaints within 2 business days and resolve them within 10 business days.
